Job Description:
What you'll be doing
Shell M&C China NOVs and WOFE cluster's key responsibilities:
- Arrange and attend Board meetings, Supervisory Board meetings (if applicable), and Shareholder Meetings (if applicable) in accordance with business needs and AOA. Prepare meeting minutes, arrange for signature, and file the executed hard copies in compliance with Shell's archiving requirements.
- Issue written resolutions based on business needs, arrange for execution, and file the documents timely.
- Issue POA, arrange for execution and stamping, and file the documents timely.
- Issue investment certificates and shareholder registers, arrange for signature/stamp, and file the documents, and
- Provide advice on Company Secretary & Corporate Governance matter.
- Responsible for Shell M&C China NOV JVs and WOFE entities' company governance documents (i.e. JVC, AOA, TMSLA Contracts etc.), official documents and archives management, ensuring standardization, safety and traceability of official documents, supporting daily administration and compliance filing.
- FP of M&C China - SSR/ASSURANCE/HSSE business record management. Manage the team's SharePoint, including setup, closure, updates, and more.
- General Corporate governance support
- Archive critical business documents in accordance with Shell BCD management procedure and retrieve documents for review.
- Custody of business licenses and hazardous chemical certificates.
- Custody of SCHBV seal, and process seal stamp request per chop procedure.
- Annual filings of 10 Shell China legal entities, or
- In-person inquiry and on-site document filing with Beijing SAMR.
- Promote Assurance, E&C culture and support relevant activities.
- Support Mobility & China assurance plan implementation
What you bring
To succeed in this role, you will have:
- Relevant experience in JV Governance, record management, board resolution proposal, business letter, briefing and reports.
- College degree or above, major in finance, legal, secretarial studies, administration, Chinese language preferred.
- Proficiency in Office (Word/Excel/PPT); familiar with official document format and filing management procedures.
- Meticulous, patient, responsible with strong confidentiality awareness and good communication & time management skills.

- Developing unconventional gas resources in China and providing natural gas, liquefied natural gas (LNG) and quality oil products to help meet the country's energy needs with cleaner fuels;

- Since BG acquisition in 2016, Shell further enhances its leading position in LNG supply to China.
- Shell's Changbei project is "a flagship Sino-foreign cooperative project in Upstream development", supplying cleaner natural gas to Beijing, Tianjin, Shandong and Hebei Provinces. Changbei Project produced 3 billion cubic meters of natural gas in 2008, contributing a green 2008 Beijing Olympics. The production reached 3.3 billion in 2009 and continued for 12 consecutive years. This annual production of Changbei amounts 17% of the natural gas supply of Beijing in 2019.
- the world-class CSPC (CNOOC and Shell Petrochemicals Company Limited ) is one of the largest sino-foreign petrochemical joint ventures in China.
- Shell Energy China (SEC) is one of the first wholly owned foreign entities to participate in the China's carbon emissions market, and is one of the first foreign entities that have registered to trade in the China's power market.
