TotalEnergies EP Brasil Ltda. holds several licenses in Brazil, both under Tax & Royalties and PSC regime, being the nominated operator under some of the concession agreements.

Job Dimensions:

The diversity of the job requires a generalist background. Knowledge on administrative and civil law and E&P governance and regulatory matters is required. Contracts and Corporate law experience are desirable along with the knowledge and general experience in business and the company's industry.

Activities

The Legal Counsel shall perform her/his activities in compliance with the HSE Management System, aligned with One Maestro Principles and oriented to safeguard the integrity of people, the environment and Company's assets and reputation.

• Provide legal advice and support to legal issues and projects, including corporate, R&D and technical services, and other matters with mid to high complexity, with some level of autonomy;

• Provide legal advice and support on regulatory issues, with emphasis (although not limited to) ANP regulations;

• Provide legal advice and support to the other divisions of the Company, and eventually other affiliates;

• Assist on and follow-up legal process, litigations and business transactions;

• Analyze and identify legal risks and implications, and suggest legal measures to mitigate the risks identified;

• Provide legal advice and support to the drafting, revision, negotiation of transactional documents, including commercial contracts for acquisition and sharing of equipment and services related to E&P activities, ensuring that legal considerations and risk mitigation are known by the divisions involved;

• Liaise with external counsel and/or specialists;

• Monitor legal and regulatory developments and communicate relevant updates that may have implications to the company;

• Represent TotalEnergies in external committees (e.g. IBP) and organizations, aligning strategy with the LRCG Director and the Legal Manager;

• Engage/ advise within the Company with business partners of all levels of seniorities, including directors, under the supervision of the LRCG Director and the Legal Manager, with respect to legal issues under his/her responsibility;

Accountabilities:

The Legal Counsel will give support to the other divisions in TotalEnergies, pursuant to the teams allocated by the Legal Manager and the Legal, Regulatory Affairs and Corporate Governance Director, as well as prepare analysis on regulatory and legal matters regarding activities and assets. The Legal Counsel will also assist in making sure that the HSE rules and regulations are being duly implemented and observed.

Candidate Profile

5 to 10 years of proven experience as legal counsel in the business environment, most of them preferably in the O&G industry (upstream);

Education: Licensed as attorney at law (regularly registered in Rio de Janeiro Bar Association);

Technical Skills: Solid knowledge of Brazilian Laws, specially Petroleum Laws, ANP regulations;

Behavior Skills: Excelent communications skills; Business oriented;

Language: English skills - fluent in speaking, reading and writing.
