Job Summary:

The Corporate Entity Team Manager oversees the day-to-day delivery of Corporate Entity Management (CEM) services across assigned jurisdictions. Reporting to the Hemisphere Corporate Entity Manager, the role ensures proper administration of corporate entities in compliance with global policies, local regulations, and internal standards.

The Team Manager is responsible for operational execution, local compliance implementation, data integrity, team leadership, and timely service delivery. Strategic oversight, global platform governance, and restructuring leadership remain with the Hemisphere Manager. The Team Manager manages a team of corporate entity specialists.

Key Responsibilities:
  • Manage day-to-day operations, ensuring smooth management and administration of the CEM function.
  • Lead daily CEM operations within Geounits in accordance with standard operating procedures.
  • Manage team workload, performance, service quality, and turnaround times; provide reporting and continuous improvement recommendations.
  • Train, mentor, and support team members; promote awareness of CEM tools and processes.
  • Ensure accurate administration of legal entities, including director/officer appointments, resolutions, filings, and database updates.
  • Maintain data accuracy in corporate systems (including CODA and ONIT) and ensure proper document retention.
  • Provide corporate administration guidance and support local compliance implementation.
  • Support corporate restructuring activities and entity lifecycle management (incorporation, changes, liquidation, dissolution).
  • Monitor legal developments and contribute to best practices and standardization initiatives.
  • Oversee the Geounits CEM budget, including cost control, service provider management, invoice approval, and fee negotiation.
  • Maintain relationships with corporate service providers and support training initiatives for directors and officers.
  • Report regularly to the Hemisphere Manager on performance, risks, and operational matters.

Education and Qualifications:
  • Degree: Bachelor's degree in law, Business Administration or Finance
  • Professional Qualification: Qualified Company Secretary (e.g., ACG/FCG from The Chartered Governance Institute)


Competencies and Skills:
  • Technical Knowledge: In-depth knowledge of corporate law, listing rules, and regulatory frameworks.
  • Communication: Excellent verbal and written skills, with the ability to advise senior executives and board members.
  • Attention to Detail: High level of accuracy in maintaining records and preparing documents.
  • Discretion: Ability to handle sensitive and confidential information.
  • Organization: Strong project management skills, with the ability to handle multiple, high-stakes tasks under tight deadlines.
  • Leadership: Proven ability to work independently and mentor junior team members.


Experience Requirements
  • Years of Experience: Typically, 5 to 10+ years of professional experience in a company secretarial or corporate governance role.
  • Background: Proven experience in a professional services firm, law firm, or in-house company secretarial department.
  • Specialized Knowledge: Demonstrated experience in managing multinational subsidiaries, corporate restructurings, and/or complex share transactions.
  • Technology: Proficiency with Microsoft Office (Word, Excel, PowerPoint, SharePoint) and company secretarial software such as Diligent Enterprise.
