> Airswift has been tasked by one of our key clients to seek a Contractual & Legal Engineering Intellectual Property to join them in Pau, FR on a 12-month contract.
Main accountabilities and responsibilities:

• Ensure intellectual property, liability, HSE and anti-corruption clauses are included in contract templates during negotiations.
• Drawing up R&D contracts in compliance with the Client's procedures and operating rules, based on existing internal templates
• Carry out multi-level contractual risk analysis (HSE, liability, country constraints, financial, tax, legal, patent, intellectual property, compliance, operational implementation)
• Define the contractual and IP strategy in agreement with the Client's teams (technical, legal, patent and development engineers)
• Propose strategies and actions during negotiations
• Negotiate and draft contractual and commercial terms with our academic and industrial Partners (NDAs, Services, Cooperations, JIPs, Industrial Licenses, Technology Transfers, etc.) in liaison with the Customer (R&D specifiers), paying particular attention to Intellectual Property, confidentiality and the risk of contamination.
• Drawing up R&D agreements using ad hoc internal templates (questionnaires, clauses, standard or non-standard contracts)
• Monitoring and understanding markets, in liaison with the Customer (prescribers, with adaptation to the R&D Area)
• Monitor and manage contracts (regular meetings with the Customer responsible for R&D Programs, etc.).
• Helping to speed up the harmonization of the Customer's practices in terms of Intellectual Property and research contracts in order to improve operational efficiency.
• Ensuring continuity of services from signed contracts to Customer teams (R&D specifiers)
• Implement the contracts in the Customer's various tools

Requirements:

• Good Anglo-Saxon legal expertise (Common Law)
• Advanced expertise in business law / international contracts / intellectual property in the O&G sector in a law firm or company with a specialization in intellectual property
• Good expertise in industrial operations
• Good contract drafting expertise
• Expertise in the post-R&D phase
• Expertise in international environment
